Understanding Dematerialisation and Share Compliance in India
Dematerialisation (Demat) is a mandatory SEBI-regulated process for converting physical share certificates into secure electronic holdings under NSDL and CDSL. This conversion eliminates risks such as loss, damage, tampering and fraudulent transfers, while ensuring fast access to dividends, bonus shares, rights issues and corporate updates.
Investors with legacy or old certificates must complete updated KYC and documentation to avoid rejections. Proper verification ensures accurate transition into electronic form.
Why Do Demat Requests Get Rejected?
Demat rejections commonly occur due to outdated records, mismatched signatures, incorrect names, damaged certificates, or differences between folio details and demat account details. Even laminated certificates may be rejected due to verification issues. Registrars require clean records before approving conversion.
IEPF Transfers – How Shares Get Shifted to Government Fund
If dividends remain unclaimed for 7 consecutive years, the associated shares are transferred to the Investor Education & Protection Fund (IEPF). Many investors lose track due to address changes, account closures or shareholder death.
IEPF claims require filing Form IEPF-5, submitting physical documents to the company, and completing verification with the registrar before shares and dividends are restored to the rightful claimant.
Lost / Misplaced Share Certificates – What to Do?
Lost or misplaced certificates can be legally replaced through a structured procedure. This involves lodging a police FIR or Non-Traceable Certificate, preparing affidavits and indemnity bonds, verifying signatures and identity proof, and obtaining approval from the registrar.
NRIs may require additional documents such as embassy attestation, apostille authentication and updated overseas address details.
Transmission of Shares – When the Holder Has Passed Away
Transmission is the legal transfer of shares to legal heirs after the death of a shareholder. It requires a death certificate, PAN/Aadhaar of legal heir, succession proof (Will or No-Will), bank details and updated KYC.
After approval, the shares can be dematerialised into the heir’s demat account and corporate benefits resume automatically.
Why NRIs Face More Challenges With Old Shares
NRIs face additional complications such as signature variations over time, closure of old resident bank accounts, outdated folio addresses and attestation requirements under FEMA. NRIs must maintain NRO/NRE bank accounts and ensure that all KYC details match their documents and DP records.
